Gimv invests in Belgian biotech company Camel-IDS, to support its unique radio-immunotherapy platform


Camel-IDS, a Brussels-based company developing cancer-targeted radiopharmaceuticals today announced the completion of a series-A financing round, whereby the company secured funding of EUR 37 million. Gimv, who leads this round together with V-Bio Ventures, invests EUR 6 million. They are joined by HealthCap, Novo Seeds, Pontifax and BioMedPartners. This financing, which is one of the larger rounds of a European early-stage life sciences company, will enable Camel-IDS to run a phase Ib/II trial with its lead program targeting brain metastatic breast cancer, while further progressing and broadening its preclinical pipeline.

Camel-IDS (, which was founded in 2014 as a spin-off from Vrije Universiteit Brussel (VUB), develops novel radiopharmaceuticals, using camelid domain antibodies linked to radionuclides. Breast cancer patients with tumors that overexpress HER2, a growth-promoting protein, can benefit from effective targeted treatments today. However, they have a poor prognosis when the cancer progresses towards the brain. Camel-IDS’ lead program shall be used to effectively irradiate such brain lesions while sparing healthy tissue. This is based on its unique technology platform that leverages the favourable tissue distribution of camelid derived single domain antibodies linked to radionuclides.

Vapotherm raises $56M via an IPO at NYSE

Utrecht (The Netherlands), Cambridge (United States) – Respiratory device producer Vapotherm, Inc. announced its Initial Public Offering and listing on the NYSE exchange. Shares in the IPO are issued to institutional investors in the US and Europe, raising gross proceeds of $56 million. The offering was significantly oversubscribed. The total market capitalisation of Vapotherm will be $244 million at the introduction price and shares will trade under the ticker symbol VAPO.

The new funds enable Vapotherm to continue ramping sales of its Hi-VNI® technology in the US and Europe. Vapotherm’s Hi-VNI® treats patients in respiratory distress in the neo-natal intensive care unit (ICU), the adult ICU, the emergency department, post-acute care and for patients in hospice. The technology has been proven equivalent to the gold standard of non-invasive ventilation, however can be delivered without the need for a mask, providing patients with more comfort and flexibility in their care.

In addition to ramping sales with existing products, Vapotherm will use proceeds from the IPO to pursue an aggressive product development program which includes products which automate the delivery of oxygen based on feedback from a patient’s oxygen levels; and a portable device which has the potential to be used in expanded clinical settings, including the home.

Gilde Healthcare acted as lead investor in the Series B financing for Vapotherm and will remain represented on the board of Vapotherm post listing. Iona Capital invests in new AD biogas plant in South West Scotland

Iona Capital (“Iona”), a specialist investor in low carbon infrastructure has financed the construction and operations of a new 8.8MW anaerobic digestion plant located in Dumfries and Galloway.

The plant has pre-qualified under the Non-Domestic Renewable Heat Incentive (RHI) which was introduced in 2011 to incentivize the uptake of renewable heat in industry and businesses. Biomethane injection to grid is making a significant contribution in meeting the Government’s renewable heat targets.

The principal feedstock will be waste slurries generated from local dairy and beef farming operations, underpinning the plant’s compliance with OFGEM’s revised targets on sustainability.

The plant will have the capacity to generate 8.8MW of base load renewable energy which is sufficient to heat circa 7,000 households on an annual basis.  The plant is being built by Bioconstruct GmbH, one of the leading European AD equipment suppliers. The biomethane will be upgraded into the local gas distribution network, controlled by Scotia Gas Networks.

The UK has set ambitious targets for renewable energy – 20% of the country’s energy generation by 2020 should be “green” power.  Since its launch in 2011, Iona has financed 21 renewable energy projects in England, Scotland and Wales, all of which supply energy to the local grid networks. This latest project follows on from two earlier successful Biomethane to Grid projects completed in Scotland at Keithick and St Boswells. The three plants will have a combined capacity in excess of 20 MW and provide significant operational synergies.

Iona Capital’s main investment focus is within the Anaerobic Digestion, Energy-from-Waste and CHP sectors, and its investors in its LP3 Fund include a number of local authority pension funds.

HICKORY, N.C. & SUWANEE, Ga.— CommScope (NASDAQ: COMM), a global leader in infrastructure solutions for communications networks, has agreed to acquire ARRIS International plc (NASDAQ: ARRS), a global leader in entertainment and communications solutions, in an all-cash transaction for $31.75 per share, or a total purchase price of approximately $7.4 billion, including the repayment of debt.

In addition, The Carlyle Group, a global alternative asset manager, has reestablished an ownership position in CommScope through a $1 billion minority equity investment as part of CommScope’s financing of the transaction.

The combination of CommScope and ARRIS, on a pro forma basis, would create a company with approximately $11.3 billion in revenue and adjusted EBITDA (earnings before interest, taxes, depreciation and amortization) of approximately $1.8 billion, based on results for the two companies for the 12 months ended September 30, 2018.

The combined company is expected to drive profitable growth in new markets, shape the future of wired and wireless communications, and position the new company to benefit from key industry trends, including network convergence, fiber and mobility everywhere, 5G, Internet of Things and rapidly changing network and technology architectures.

ARRIS, an innovator in broadband, video and wireless technology, combines hardware, software and services to enable advanced video experiences and constant connectivity across a variety of environments – for service providers, commercial verticals, small enterprises and the people they serve. ARRIS has strong leadership positions in the three segments in which it operates:

  • Customer Premises Equipment (CPE), featuring access devices such as broadband modems, gateways and routers and video set-tops and gateways;
  • Network & Cloud (N&C), combining broadband and video infrastructure with cloud-based software solutions; and
  • Enterprise Networks, incorporating the recently acquired Ruckus Wireless® and ICX Switch® businesses, and focusing on wireless and wired connectivity, including Citizens Broadband Radio Service solutions.

For the 12 months ended September 30, 2018, ARRIS generated revenues of approximately $6.7 billion, consisting of $3.9 billion from CPE, $2.2 billion from N&C and $568 million from Enterprise Networks (reflecting only a partial year of Ruckus since its acquisition in December 2017).

  • Strong Financial Profile with Cost Savings Opportunities: For the 12 months ended September 30, 2018, on a pro forma basis, the combined company would have generated revenues of approximately $11.3 billion with adjusted EBITDA of approximately $1.8 billion. As a result of the combined company’s increased scale, CommScope expects to achieve annual run-rate cost savings of at least $150 million within three years post-close, with synergies of more than $60 million expected to be realized in the first full year after closing and more than $125 million expected to be realized after the second year post-close, driven from natural synergies primarily in direct procurement and SG&A.
  • Significantly Accretive to CommScope’s Earnings: The transaction is expected to be more than 30 percent accretive to CommScope’s adjusted earnings per share by the end of the first full year after closing, excluding purchase accounting charges, transition costs and other special items.
  • Maintains CommScope’s Strong Balance Sheet, Credit Position and Financial Flexibility: With a unique set of complementary assets and capabilities that enable end-to-end communications infrastructure solutions, the combined company is expected to generate approximately $1 billion in cash flow from operations1 in the first full year after closing. Upon completion of the transaction, CommScope’s net leverage (debt less cash) ratio based on pro forma adjusted EBITDA1 for the 12 months ended September 30, 2018 is expected to be 5.1x, including full run-rate synergies of $150 million. Given the increased scale and cash flow generation, as well as both companies’ track records of successful integration, CommScope expects to rapidly de-lever, targeting a net leverage ratio of approximately 4.0x in the second full year after closing. Long term, the company is targeting a net leverage ratio of 2.0x to 3.0x.

Terms and Financing

The per share cash consideration represents a premium of approximately 27 percent to the volume weighted average closing price of ARRIS’ common stock for the 30 trading days ended October 23, 2018, the day prior to market rumors regarding a potential transaction.

The transaction is not subject to a financing condition. CommScope expects to finance the transaction through a combination of cash on hand, borrowings under existing credit facilities and approximately $6.3 billion of incremental debt for which it has received debt financing commitments from J.P. Morgan Securities LLC, BofA Merrill Lynch and Deutsche Bank Securities Inc.

In addition, The Carlyle Group, a former CommScope owner, is reestablishing a minority ownership position in the company through a $1 billion equity investment, equal to approximately 16 percent of CommScope’s outstanding shares.

EQT invests in leading wallpaper company Artwall in China

IK Investment Partners to support 2Connect in its first Benelux Small Cap strategy investment

Financial terms of the transaction are not disclosed. The founder will reinvest alongside the Fund.

The acquisition of 2Connect represents the first Small Cap transaction in the Benelux region, following shortly after the final close of the IK Small Cap II Fund at its hard cap of €550m.
