KPN Ventures leads investment in cyber security startup ZecOps

Kpn Ventures

ROTTERDAM, July 31, 2018 – Dutch corporate investment fund KPN Ventures announced today it has participated as lead investor in the $3.5m seed round of ZecOps, a cyber security startup based in San Francisco and Tel Aviv, focusing on automated threat analysis.

ZecOps seed round is supplemented by an investment from Evolution Equity Partners, a fund that specializes in cybersecurity, Plug and Play Silicon ValleyWISE VenturesArray Ventures, and respected angel investors.

ZecOps was started in July 2017 by Zuk Avraham together with his wife & co-founder, Taly Slachevsky. ZecOps is Avraham’s second entrepreneurial journey. He founded his first company, Zimperium, in 2010, where he currently serves as its Chairman of the Board. Zimperium is the leading mobile threat defense solution on the market.

ZecOps products gained high traction during its first year, while still in stealth-mode, with well-known customers from the technology, finance and telecom segments. ZecOps is working with law enforcement agencies, banks, critical infrastructure, tech, payment solutions and telcos to solve major pain points in cyber security.

“Through KPN’s cooperation with Zimperium, We have got to know Zuk as a clear thought leader in cyber security” said Herman Kienhuis, EVP and Managing Director at KPN Ventures.“With ZecOps, he is taking on a new challenge: automating security breach analysis; we see great potential in enabling more companies to learn from attacks, generate new threat intelligence and substantially improve their security.”

Michal Pechoucek, Partner at Evolution Equity Partners, adds: “Increased efficiencies gained from automation in security operations is an important area in cybersecurity where Zecops have developed cutting edge technology. We believe the attributes of the Zecops technology are unique and provide the company with a cutting-edge advantage in the global marketplace. We welcome Zecops and its team of seasoned cybersecurity professionals to our portfolio.”

“We are extremely excited to welcome ZecOps into our family.  Out of the hundreds of cybersecurity startups we analyzed this year, ZecOps stood out as one of the most exciting,” says George Damouny, Partner at Plug and Play Ventures. “With their strong team and expertise in the cybersecurity space, we have high expectations for ZecOps as they continue to revolutionize the Security Operations market.”

Following this seed round investment, ZecOps will launch its products for general availability to help organizations hunt down attackers’ mistakes effectively.

“We were surprised with the overwhelming demand for our products. It can be exceedingly difficult to innovate in a crowded market like the cyber security space – but we were able to do it effectively. Consequently, the reactions from CISOs around the globe made our efforts worthwhile,” said Mr. Avraham. “In the last year, we detected multiple APTs for a variety of businesses, a rare achievement especially for a one year old company”.

Genstar Capital Announces Agreement to Sell Accruent to Fortive Corporation for $2.0 Billion in Cash

Record Bookings, Nine Acquisitions, and Established European Presence Over Two-Year Investment Positions Accruent as Leading Global Facilities Management Platform

SAN FRANCISCO, July 31, 2018 – Genstar Capital, a leading private equity firm focused on investments in targeted segments of the software, industrial technology, healthcare, and financial services industries, today announced the signing of a definitive agreement to sell Accruent, the world’s leading provider of physical resource management solutions, to Fortive Corporation (“Fortive”) (NYSE: FTV) for $2.0 billion.

Accruent is a global software company that helps organizations achieve superior performance by transforming how they manage their physical resources.  Accruent employs over 1,100 employees and its solutions are used by more than 10,000 global customers across a wide range of industries.  It has experienced strong international revenue growth with 20 percent of Accruent’s revenue coming from global markets, fueled by a strong business partner network spanning more than 150 countries.

“We are proud of the platform that Accruent built to unlock the market potential of Facilities Management software.  Genstar is pleased to have guided the company through strong growth and we are excited to see the continued success of Accruent as part of Fortive,” said Eli Weiss, Managing Director of Genstar.  “This transaction continues what is a very active year for Genstar as we continue to invest in compelling new platform companies and realize exceptional value from our investments.”

John Borgerding, Chief Executive Officer of Accruent, said, “We couldn’t be more excited to be a part of Fortive for the next chapter of Accruent’s growth.  We appreciate Genstar’s outstanding partnership.  Genstar has been deeply involved in defining our strategy, driving organic growth, and creating value for employees, customers, and shareholders.  Under Genstar’s watch, the company has doubled in revenue, acquired nine companies, and rapidly expanded international growth.”

Accruent was founded in 1995 by founder and chairman, Mark Friedman.  Friedman established the company’s strategy to address the second largest expense for all organizations – namely, real estate, facilities and physical assets.  Globally, organizations spend trillions of dollars on these assets, and the breadth and complexity of managing them requires software like Accruent’s to reduce mistakes and inefficiencies.  The total addressable market for these solutions has grown in excess of $7 billion.  “I am proud to have been a part of Accruent’s growth and helping customers solve mission critical problems,” added founder Mark Friedman.

Lazard served as financial advisor and Irell & Manella as lead legal counsel to Accruent.

DN Capital News Happeo, the all-in-one digital workplace platform has raised a late seed round of $8 Million

DN Capital

Helsinki, Finland, 07/24/2018. Finnish software startup Happeo announced today that it has raised $8M from leading international investors including DN Capital (UK/Silicon Valley), Maki.vc (Helsinki), and Vendep Capital (Helsinki). View the original press release from Happeo herehttps://www.happeo.com/blog/press-release-8mil-funding

Internal Communicators in enterprise and fast-growing companies are struggling to connect a diverse workforce over locations and generations. Departmental silos, the absence of effective knowledge sharing, and an overflow of tools used to communicate and collaborate often results in low employee productivity and engagement.

The Happeo SaaS platform is solving these challenges by bringing together the software that organizations use daily into one unified platform, allowing employees not only to connect and collaborate in new ways, but also to work more efficiently. Since officially launching its platform in 2017, Happeo (formerly Universe) has been nominated as one of the most promising startups by the European Union, and today already more than 220,000 employees are working with the Happeo digital workplace.

“Traditional employee intranets are dead, because they host static and often outdated information in isolation, offering no value to the employee,” says Perttu Ojansuu, Co-Founder and CEO of Happeo. “Happeo is providing organizations with a totally integrated digital workplace, serving as a central hub for employees to access company resources, collaborate, and connect with each other. This massively improves employee experience and drives our clients’ growth.“

By integrating seamlessly with leading enterprise collaboration tools, Happeo brings together essential tools: calendar, files, conferencing, and projects, even CRM and HR-systems – in one digital workplace. The platform is enriched with knowledge sharing and social networking features directly driving engagement, productivity and an enjoyable employee experience.

UK/Silicon Valley based international venture fund, DN Capital, joins the round with Finnish investors Maki.vc and Vendep who has former success from backing companies disrupting traditional industries in SaaS. The additional capital will be used by Happeo to expand upon its rich suite of integrations, making it possible to launch Linkedin, Google Chat and Slack this quarter. The funding will also be used to expand the global presence of the company, following the opening of its Amsterdam office earlier this year.

“Happeo’s core team possesses a world-class understanding of the enterprise software market, client needs and the shortcomings of the existing tools. Happeo brings together work efficiency, information availability and company culture in a way that makes the traditional intranets and enterprise collaboration tools look and feel hopelessly cumbersome and archaic,” says Pirkka Palomäki from Maki.vc.

“We look forward to working together with Perttu, Vesa and Antero to accelerate Happeo’s growth and help one more Finnish SaaS company to conquer the world. The founding team has worked together successfully for a long time, and based on their proven track record and backed by the raised funds, the company is now ready to step up its growth,” says Hannu Kytölä from Vendep Capital.

“By bringing together enterprise CMS, social intranet and collaboration in a single platform, Happeo has created a solution that will be critical to the digital workplace of the future. We are delighted to join Maki.vc and Vendep in Happeo’s first institutional funding round,” says Steve Schlenker from DN Capital.

About Happeo

Happeo is the leading all-in-one digital workplace platform that empowers internal communicators to connect with employees in entirely new ways. The platform brings together intranet, collaboration, and social networking into one unified solution.

Large enterprises and fast-growing organizations, such as Randstad Sourceright and Groupe Chantelle, use Happeo to reach, engage, and listen to more than 220,000 employees worldwide to create a seamless employee experience.

Our mission is to accelerate growth from within for our clients. We believe business success today depends entirely on talent and a company’s ability to overcome silos. Happeo brings together a diverse workforce across generations, locations and time zones.

Exclusive negotiations underway to sell Peopledoc to Ultimate software

Eurazeo

Eurazeo Croissance, the Eurazeo investment division that specializes in assisting fast-growing companies, today announced the start of exclusive negotiations to sell its interest in PeopleDoc alongside Accel Partners, Alven Capital and Kernel Investissements and PeopleDoc’s founders, to NASDAQ-listed and US-based Ultimate Software, a leading provider of human capital management (HCM) solutions.

Ultimate Software plans to acquire PeopleDoc for approximately $300 million, to be paid with a combination of cash and shares of Ultimate Software common stock, with approximately $75 million of cash to be paid at the closing and approximately $50 million of cash to be paid 12 months after the closing date. Ultimate Software expects that the PeopleDoc acquisition will have no material impact on Ultimate’s total revenues in fiscal year 2018.

Founded in 2007, PeopleDoc is a pioneer in HR software as a service (SaaS) with more than 1,000 customers in 180 countries. More than 4 million employees worldwide access their information and connect with their HR department using PeopleDoc. Clients enjoy major benefits in terms of productivity and security and reducing their environmental footprint. PeopleDoc has recently been mentioned by Forbes for advances in employee process automation and Inc. Magazine for helping define the category of HR Service Delivery. In 2014, PeopleDoc was named to the “Cool Vendors in Human Capital Management” list by Gartner. More information is available at www.people-doc.com.

Thanks to its positioning and the expertise of its Founders, PeopleDoc has enjoyed rapid growth since its creation. The company has undergone a significant ramp-up since Eurazeo’s investment in 2015, due in particular to the speed of its organic business growth in France but above all to its geographical expansion in the US, the UK, Germany and Canada.

Yann du Rusquec, Managing Director, Head of Eurazeo Croissance, stated: “We wish to thank Jonathan and Clément for the confidence they have shown over the past years. We take pride in our support of PeopleDoc and wish them the greatest success with the next stage of their development.”

Jonathan Benhamou, CEO and co-founder of PeopleDoc, added: “Today, I can measure how far PeopleDoc has come since its creation. Our company is entering a new phase in its development, the goal being to create a global HR leader. I would like to extend my warmest thanks to Eurazeo, Yann and his teams for their support over the last three years and their contribution to this great adventure.”

Ardian arranges the Unitranche refinancing of Evernex

Ardian

Paris, July 17th 2018 – Ardian, a world-leading private investment house, today announces the arrangement of a Unitranche facility to refinance the existing debt of Evernex, a leading global provider of third party maintenance services for IT infrastructures and a Carlyle Europe Technology Partners portfolio company. The Unitranche package will also include a dedicated committed acquisition facility to finance future build-ups.

Founded in 1983, Evernex has built a broad global network over time covering 160 countries through 330 stocking locations and over 400 employees, of which 200 specialized engineers. This footprint enables the Company to support and maintain its customers’ locations 24/7, leveraging over 750,000 available spare parts from its inventory.

Evernex’s rapid growth can be explained by dynamic organic performance, enabled by the expansion of its operations into new geographies, as well as by a selective external growth strategy, with the aim of securing the Company’s leadership in its core markets and enhancing its service range. Evernex is indeed involved in a fragmented competitive landscape, which offers enticing consolidation opportunities, from which the company wishes to benefit as it did in 2016 with the acquisition of Nexeya. The Group intends to further capitalize on these opportunities to densify its network and continue supporting its customer base in their evolving IT hardware needs.

Carlyle acquired a majority stake in Evernex in 2015 (named CapVert Finance at the time) and the Company has now chosen Ardian Private Debt as financing partner, thanks to its tailor-made Unitranche financing, which combines flexibility and rapidity of execution.

“The acquisitive ambition of Evernex made the Unitranche choice an obvious one to unlock further opportunities and contribute to the continued growth of the business.” commented Jean-David Ponsin, Director in the Private Debt team of Ardian. Charles Villet, Associate Director at Carlyle Europe Technology Partners, added: “Ardian’s ability to deliver terms perfectly in line with the Company’s needs was key in this partnership. Ardian demonstrated a strong level of creativity and has set up a financing package particularly well suited to the story we wish to continue writing with Evernex.”

“We are delighted and excited to carry out this transaction alongside Carlyle Europe Technology Partners, to support a Company with such an impressive growth track record and quality management team.” said Olivier Berment, Co-Head of Ardian Private Debt and Managing Director. “Evernex’s preference for a Unitranche solution demonstrates the strength of this type of financing, especially in the context of fast-growing companies, by providing them with the flexibility and reactivity they need to unlock their full development potential.”

“With this Unitranche financing, our intention is to accelerate even further the execution of our original investment thesis and establish Evernex as the uncontested global leader in its market.” concluded Vladimir Lasocki, Managing Director at Carlyle Europe Technology Partners. “We are convinced that Ardian will prove to be a strong growth partner for Evernex in the long run, and will have the capacity to further finance the Group’s needs for its development.”
